End User License Agreement
QuickBooks Online Integration Application

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and J5 Rescue Supply LLC ("J5 Rescue"), an Illinois limited liability company, governing your use of the J5 Rescue QuickBooks Online Integration application ("Application").
By connecting your QuickBooks Online account to the Application, you agree to be bound by these terms.
1. Description of the Application
The Application is a private integration tool that synchronizes business data between Odoo ERP software and QuickBooks Online using the Intuit QuickBooks Online API.
2. License Grant
J5 Rescue grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for synchronizing your business data between Odoo and QuickBooks Online. This license is for internal business use only.
3. Account Authorization
You must authorize the Application via Intuit's OAuth 2.0 process. You may revoke this authorization at any time through QuickBooks Online settings or the Application's disconnect feature.
4. Data Access and Usage
The Application accesses company information, customer records, product records, invoice records, and payment records solely to facilitate synchronization. We do not sell, rent, or share your data. See our Privacy Policy for details.
5. User Responsibilities
You agree to provide accurate information, maintain credential security, notify us of any security breaches, comply with all applicable laws including Intuit's terms, and verify synchronized data for accuracy.
6. Intellectual Property
The Application and all related materials are property of J5 Rescue Supply LLC. QuickBooks and Intuit are trademarks of Intuit Inc.
7. Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. J5 RESCUE DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU ARE RESPONSIBLE FOR VERIFYING THE ACCURACY OF SYNCHRONIZED DATA.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, J5 RESCUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF THE APPLICATION. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE APPLICATION IN THE PRECEDING TWELVE MONTHS.
9. Indemnification
You agree to indemnify and hold harmless J5 Rescue Supply LLC from claims arising from your use of the Application or violation of this Agreement.
10. Termination
Either party may terminate at any time. You may terminate by disconnecting and ceasing use. We may suspend access with or without cause. Sections 7, 8, 9, and 12 survive termination.
11. Modifications
We may modify this Agreement at any time. Continued use constitutes acceptance.
12. Governing Law
This Agreement is governed by the laws of the State of Illinois. Disputes shall be resolved in Illinois state or federal courts.
